It\u2019s hoping its latest wager \u2014 the takeover of <strong>HPS Investment Partners<\/strong> \u2014 goes better.<\/p>\n<p>BlackRock\u2019s $12bn HPS deal this month closes a trio of acquisitions that give the dominant manager of listed stocks and bonds a major presence in higher-fee private assets.<\/p>\n<p>Since the beginning of 2024, BlackRock has shelled out nearly $30bn to buy HPS, infrastructure investor <strong>Global Infrastructure Partners<\/strong> and data provider <strong>Preqin.<\/strong><\/p>\n<p>How it integrates HPS, a crucial part of BlackRock chief executive <strong>Larry<\/strong> <strong>Fink<\/strong>\u2019s deal spree, will determine whether the world\u2019s largest asset manager has finally figured out private markets.<\/p>\n<p>BlackRock\u2019s prior efforts in private credit <a href=\"https:\/\/www.ft.com\/content\/8e326f55-9b23-4eeb-aacf-dc724eb1734c\" data-trackable=\"link\">didn\u2019t pan out<\/a> as some top executives had hoped, DD\u2019s Eric Platt reports.<\/p>\n<p>One recent employee described the 2018 acquisition of <strong>Tennenbaum Capital Partners<\/strong> as \u201ca disaster\u201d.<\/p>\n<p>The 2018 deal was meant to give BlackRock a foothold in the burgeoning direct lending market, where asset managers bypass banks to underwrite loans directly to companies. But almost from the start things went sideways.<\/p>\n<p>Tennenbaum focused heavily on so-called opportunistic credit, generally riskier deals, and its direct lending funds were smaller than rivals.<\/p>\n<p>The unit suffered poor fund performance, high staff turnover and a handful of credit deals that ultimately soured. BlackRock\u2019s publicly traded fund, <strong>BlackRock TCP Capital<\/strong>, has returned minus 15.6 per cent over the past year \u2014 ranking among the worst performing of its peers.\u00a0<\/p>\n<p>It is or was involved in many of the thorniest restructurings that hit the private credit industry, including for educational video maker <strong>Pluralsight<\/strong>, <strong>Amazon<\/strong> aggregators <strong>Thrasio<\/strong>, <strong>Razor Group<\/strong> and <strong>SellerX<\/strong>, software companies <strong>Khoros<\/strong> and <strong>InMoment<\/strong> and a former <strong>McAfee <\/strong>cyber security division.<\/p>\n<p>Part of the work of the 800 HPS employees who now work for BlackRock will be cleaning up the issues in that pre-existing private credit portfolio.<\/p>\n<p>BlackRock and HPS declined to comment.<\/p>\n<p>With HPS, BlackRock has taken control of a top-performing private credit manager, which <a href=\"https:\/\/www.ft.com\/content\/fb2c9511-0663-43bc-ae4d-a3a4da743111\" data-trackable=\"link\">has grown from<\/a> $34bn in assets in 2016 to $157bn this year.<\/p>\n<p>Fink says he is confident HPS will take to BlackRock: \u201cStrategic acquisitions have strengthened our firm,\u201d he said last month. \u201cWith GIP, HPS and Preqin, we were again looking for the right partners.\u201d<\/p>\n<p>The asset management giant isn\u2019t entirely done building out its credit investment portfolio, even after digesting HPS. On Monday it struck a deal to buy real estate investment firm <strong>ElmTree Funds<\/strong>. ElmTree will be folded into the unit run by HPS\u2019s executive team.<\/p>\n<h2 id=\"coreweaves-stock-funded-deleveraging\" class=\"n-content-heading-2 o3-editorial-typography-chapter\">CoreWeave\u2019s stock-funded deleveraging<\/h2>\n<p>A data centre operator backed by <strong>Nvidia<\/strong> is using an epic rally in its share price to buy out $10bn in future liabilities for $9bn in stock.<\/p>\n<p>On Monday, <strong>CoreWeave<\/strong>, a renter of high-powered Nvidia chips to tech giants such as <strong>Microsoft<\/strong>, <a href=\"https:\/\/www.ft.com\/content\/7a304ced-f737-4ecd-959f-b72e45fa9f2f\" data-trackable=\"link\">struck a deal<\/a> to acquire <strong>Core Scientific<\/strong>, a data centre operator that is one of its key suppliers of computing and electrical capacity.<\/p>\n<p>The deal by CoreWeave further highlights the financial engineering underpinning its nearly $80bn market capitalisation.<\/p>\n<p>CoreWeave has emerged as one of the big infrastructure companies in the AI boom because of its ability to get its hands on Nvidia\u2019s AI chips. It is also one of Core Scientific\u2019s biggest customers.<\/p>\n<p>CoreWeave\u2019s IPO in March was a pivotal moment and gave the company the cash to repay some of its debts: it had <a href=\"https:\/\/www.ft.com\/content\/163c6927-2032-4346-857e-8e3787e4babc\" data-trackable=\"link\">borrowed billions of dollars<\/a> to obtain Nvidia chips, using credit from a bevy of private capital juggernauts, including <strong>Blackstone<\/strong>.<\/p>\n<p>Monday\u2019s all-stock transaction in effect accelerates the company\u2019s debt paydown, capitalising on a fourfold increase in its share price since the IPO.\u00a0<\/p>\n<p>By buying Core Scientific for $9bn in stock, CoreWeave would cancel roughly $10bn in lease costs, the company said on Monday. Those leases were also a risk to CoreWeave because it was on the hook for the payments whether or not it could find AI-hungry customers.\u00a0<\/p>\n<p>CoreWeave, which started out as a crypto miner before pivoting to AI during a crypto downturn a few years ago, said the deal would \u201cenhance operational efficiencies and de-risk our future expansion\u201d.<\/p>\n<p>Core Scientific last year fended off a $1bn takeover from CoreWeave, meaning its holdout has created shareholder value.\u00a0<\/p>\n<p>Core Scientific made its own pivot from crypto into AI after its crucial customer <strong>Celsius<\/strong> collapsed in 2022 prompting its own bankruptcy filing. When Core Scientific emerged last year it remarketed its fully powered data centres to AI clients.<\/p>\n<p>But the deal begs the question: is CoreWeave using overvalued stock as a currency to eliminate performance liabilities? If so, that would imply a souring view on the AI outlook.<\/p>\n<h2 id=\"liberation-day-frees-bankers-from-deal-activity\" class=\"n-content-heading-2 o3-editorial-typography-chapter\">\u2018Liberation day\u2019 frees bankers from deal activity\u00a0<\/h2>\n<p>Heading into 2025, dealmakers had high hopes for a resurgence of M&amp;A.\u00a0<\/p>\n<p>Yet now with the dust settling on the second quarter, it\u2019s clearer than ever that the hoped-for takeover boom has failed to materialise.<\/p>\n<p>M&amp;A slumped in the second quarter to the <a href=\"https:\/\/www.ft.com\/content\/df27621d-e70c-44a9-b73e-d37347fc403b\" data-trackable=\"link\">lowest level in a decade<\/a>, excluding the early months of the coronavirus pandemic, as US President <strong>Donald Trump<\/strong>\u2019s \u201cliberation day\u201d tariffs extended a run of uncertainty that\u2019s forced dealmakers to pull back from all but the largest takeovers.<\/p>\n<p>The total number of deals announced in the three months to June 30 fell to about 10,900, according to data from the <strong>London Stock Exchange Group<\/strong>.\u00a0<\/p>\n<p>Excluding the second quarter of 2022, when Covid-19 lockdowns upended global markets and just 10,600 deals were unveiled, the figure was the lowest since the start of 2015, DD\u2019s Ivan Levingston and Oliver Barnes reported.\u00a0<\/p>\n<p>While caution is ruling the boardroom, the LSEG data shows that the value of transactions held steady from the first quarter of the year at $969bn, propped up by a handful of strategic megadeals.<\/p>\n<p>Meanwhile, global private equity-backed acquisitions slowed sharply between the first and second quarters, from about 2,500 in the first three months to closer to 1,850 in the second three months.\u00a0<\/p>\n<p>Private equity dealmaking has focused on transactions such as takeovers of listed companies and carve-outs of non-core corporate divisions.<\/p>\n<p>\u201cIt\u2019s not completely risk off, deals are still getting done,\u201d said <strong>Philipp Beck<\/strong>, <strong>UBS <\/strong>head of Emea M&amp;A. \u201cIt\u2019s not like in other crises when there\u2019s no activity.\u201d<\/p>\n<h2 id=\"job-moves\" class=\"n-content-heading-2 o3-editorial-typography-chapter\">Job moves<\/h2>\n<ul class=\"o3-editorial-typography-list-unordered\">\n<li>\n<p><strong>BP<\/strong> has <a href=\"https:\/\/www.ft.com\/content\/5283c2ff-9587-4e00-a6aa-f14bca07e781\" data-trackable=\"link\">appointed<\/a> former <strong>Shell<\/strong> finance chief <strong>Simon Henry<\/strong> to its board. He will join in September.<\/p>\n<\/li>\n<li>\n<p><strong>Orix Corporation USA<\/strong> has taken a majority stake in <strong>Hilco Global<\/strong>, the corporate restructuring advisory and investment firm. Hilco\u2019s founder <strong>Jeffrey Hecktman,<\/strong> <a href=\"https:\/\/www.ft.com\/content\/3d1f85ef-f058-4473-add3-944e6a3230c7\" data-trackable=\"link\">profiled last year by the FT<\/a>, will continue as its CEO.<\/p>\n<\/li>\n<li>\n<p><strong>PwC<\/strong> has <a href=\"https:\/\/www.ft.com\/content\/0b8ad72b-3197-4eff-855d-8d13a0458fe0\" data-trackable=\"link\">lined up<\/a> UK managing partner <strong>Laura Hinton<\/strong> as the frontrunner to replace its Middle East head, the FT reports.<\/p>\n<\/li>\n<li>\n<p><strong>Paul Hastings <\/strong>has appointed <strong>Joshua Soven<\/strong> as a partner in its antitrust team in Washington.
